Corporate Secretarial (“CoSec”)

 

Job purpose

  • The CoSec will be responsible for corporate housekeeping, ensuring that the necessary requests across the 120+ countries operated in are appropriately and effectively addressed by the Group’s Global Shared Service Centre (“GSC”) corporate secretarial or local finance teams
  • Manage the administration of local and/or global outsourced cosec providers.
  • Serve as Corporate Secretary for some legal entities
  • Act as the Data Protection Officer and Legal Representative where needed
  • Excludes public company activity and certain other head office entities
  • The role is based in Zug

 

Duties and responsibilities

  • Serve as Cosec Manager responsible for conducting and overseeing directors’ meetings, including preparations of related minutes and certificates, safekeeping and preserving the integrity of the minutes / certificates as well as other official corporate records, preparing and submitting reports required by the authorities, and performing such other duties and responsibilities as required by local regulations
  • Ensuring that the GSC corporate secretarial team (together with local cosec providers) executes all relevant tasks as the business requires. Tasks include but not limited to: Diligent Entities corporate data management and monitoring, new entity incorporation in local jurisdictions including locally registering any company update such as director change, address change, shareholding change, intercompany agreement preparation and execution including registration of security agreements, minutes or resolutions preparation including arrangement of signatures, local application for liquidations, and other related corporate housekeeping tasks
  • Ensuring that local finance team executes all relevant cosec tasks as the business requires. Tasks include but not limited to: New entity incorporation in local jurisdictions including locally registering any company update such as director change, address change, shareholding change, intercompany agreement preparation and execution including registration of security agreements, minutes or resolutions preparation including arrangement of signatures, local application for liquidations, and other related corporate housekeeping tasks
  • Working closely with the Group legal team to ensure that the corporate strategy is correctly reflected in the local entity set ups
  • Guide GSC and local finance team when new COSEC processes and requirements are implemented

 

Candidate Profile / Experience

  • Experience in Corporate Secretarial and administrative processes for large or geographically diverse companies
  • High integrity and commitment to work
  • Cross functional collaboration and team player
  • Experience of managing a team and working on multiple deliverables
  • Dynamic, hands-on, proactive self-starter willing to take ownership of processes
  • Excellent communication skills (written and verbal), with proven ability to communicate across all levels within the organization and with external parties
  • Strong analytical skills and ability to problem solve
  • Resilient, able to work under pressure and manage difficult stakeholders
